SEC Adopts New Form 10-Q

The SEC has adopted a new Form 10-Q. The new Form adds a clause (c) to Part II, Item 5 (Other Information), which requires registrants to disclose the adoption or termination of certain plans for the trading of the registrant’s securities by its own directors and officers. This requirement arises under new Item 408(a) of Regulation S-K. Notwithstanding the new Form, the disclosure requirements under Item 408(a) are not effective for the first quarter 10-Q but rather take effect for the second quarter 10-Q for most registrants.
